1. About us and these Terms
1.1 Social Law Docs (ABN to be inserted) (we, us, our) operates the website at sociallawdocs.com.au and sells document templates (Templates) for use in influencer marketing campaigns.
1.2 These Terms govern your purchase and use of any Template. By purchasing a Template, you agree to these Terms. Buying a Template does not create a solicitor-client (lawyer and client) relationship between you and us. We are not a law firm.
1.3 If you require legal advice about your campaign, or wish to receive any assistance in customising the Template, you may wish to contact Social Law Co. (sociallawco.com.au), a separate legal entity to us. Social Law Co. will charge you a separate fee for any such advice or drafting assistance.
1.4 Templates are general documents. They are not tailored to your circumstances and are not a substitute for advice from a qualified legal practitioner about your specific situation.
1.5 You should obtain your own legal advice before relying on a Template.
2. You must assess suitability before you buy
2.1 You are responsible for deciding whether a Template is suitable for your intended purpose, matter or campaign before you purchase it.
2.2 Templates may not suit every situation, party, jurisdiction or campaign. Please review the product description carefully before buying.
2.3 To the extent permitted by law, we are not responsible for a Template being unsuitable for your particular needs where the Template otherwise matches the description under which it was sold.
3. Licence — your use of the Template
3.1 When your payment is received in full, we grant you a non-exclusive, non-transferable, revocable licence to use the Template for your own business and/or personal purposes.
3.2 You may complete, adapt and reproduce the Template as reasonably necessary for your own matters or campaigns.
3.3 You must not:
- (a) share, give, distribute, publish, upload or otherwise make the Template (or any materially similar copy or adaptation) available to any other person or business other than when providing the completed document to the counterparty or their agent to be signed;
- (b) on-sell, resell, sub-licence or licence the Template (or any materially similar copy or adaptation) available to any other person or business;
- (c) use the Template, or allow it to be used, to create a product or service that competes with our Templates; or
- (d) remove or alter any copyright, ownership or attribution notice on the Template.
3.4 The licence is granted to you (the purchaser) alone. If you need Templates for more than one business, or for other users, you must purchase a separate licence for each, or contact us about a multi-user licence.
4. Indemnity for unauthorised sharing
4.1 You indemnify us, and must keep us indemnified, against all loss, damage, cost, expense or liability (including all reasonable legal costs on a full indemnity basis) that we suffer or incur arising from or in connection with your breach of clause 3, including any unauthorised sharing, distribution, publication, on-selling or other misuse of a Template.
4.2 This indemnity survives the end of these Terms.
5. Intellectual property
5.1 We (or our licensors) own all intellectual property rights, including copyright, in the Templates. Except for the licence in clause 3, nothing in these Terms transfers any ownership or intellectual property rights to you.
6. Price and payment
6.1 Prices are in Australian dollars and are inclusive of GST as shown at checkout.
6.2 Payment is due in full at the time of purchase, through our payment provider, Stripe. We are not responsible for any fees charged by your bank or card provider.
6.3 We make the Template available for download or access after your payment has cleared.
7. Refunds
7.1 Templates are digital products that are made available to you immediately after purchase. Because of this, and because you are responsible for assessing suitability before you buy (clause 2), we do not offer refunds for:
- (a) change of mind;
- (b) cancellation, postponement or change of your campaign, matter or event;
- (c) buying the wrong Template, or a Template you decide you no longer need; or
- (d) a Template not suiting a purpose it was not described as being for.
7.2 Nothing in these Terms excludes, restricts or modifies any right or remedy you may have under the Australian Consumer Law, including any consumer guarantee that cannot be excluded. If a Template has a major failure as defined in the Australian Consumer Law, you may be entitled to a remedy under that law.

8. Limitation of liability
8.1 To the maximum extent permitted by law, our total liability to you in connection with any Template or these Terms is limited to the amount you paid for the relevant Template.
8.2 To the maximum extent permitted by law, we exclude all liability for indirect, consequential, special or incidental loss or damage, including loss of profits, loss of revenue, loss of data or loss of opportunity, even if we have been advised of the possibility of such loss.
8.3 Nothing in these Terms limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.
9. Disclaimer
9.1 Templates are provided as general documents only. We make no representation or warranty that any Template is suitable for your specific situation, campaign or jurisdiction.
9.2 We are not a law firm and do not provide legal advice. Nothing on this website or in any Template constitutes legal advice.
10. Governing law
10.1 These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.
